Terms of Service

1. Hosting, Access & Control

To ensure lightning-fast load times, ironclad security, and strict A2P 10DLC carrier compliance, all Clear Note Solutions websites are exclusively hosted on our secure, US-based servers.

Client Access: You have the right to request changes to your site at any time. If you prefer a hands-on approach and have purchased a Standard Plan (Upfront Setup), we will provide you with exactly one (1) FTP account for direct access. To protect the integrity of the assets during the contract period, 2-Year Financed Plans do not include direct FTP access. Please note for Standard Plans: If you or your team choose to modify the backend code directly, you assume total responsibility for the website. Clear Note Solutions is not liable for any downtime, broken layouts, or compliance violations that result from your own modifications. Thankfully, we maintain routine backups of your website. If an accident occurs while making your own edits, we can restore your site to a recent, functioning version to get you back online quickly.

2. Maintenance & Revisions

We want your website to grow alongside your business. To keep things clear, we categorize website updates into two groups:

• Minor Updates (Included): These are quick, routine changes that take less than 30 minutes. Examples include swapping a photo, updating business hours, changing a phone number, or tweaking a paragraph. These are included in your monthly management plan.
• Major Updates (Billable): Larger structural changes—such as adding entirely new pages, redesigning layouts, writing custom code, or integrating third-party booking software—fall outside standard maintenance. We will always provide a flat-fee quote or hourly estimate before starting this type of work.

3. SMS Marketing & A2P 10DLC Compliance

We build your website to include the necessary technical architecture for text message marketing compliance (such as proper privacy policies and opt-in consent checkboxes). However, you are solely responsible for formally registering your business with the telecommunications carriers (A2P 10DLC) and ensuring the actual content of the text messages you send complies with all state and federal regulations. Clear Note Solutions is not liable for carrier fines, blocked messages, or suspended campaigns.

4. Subscriptions, Cancellations & Suspensions

Your cancellation terms and website ownership depend on the billing structure you selected when you signed up:

• Standard Plans (Upfront Setup): If you paid your setup fee upfront, you fully own your website's design, content, and frontend assets. You may cancel your $30/month management plan at any time. Upon cancellation, you may request a packaged zip file of your website to transfer to a third-party host of your choosing. Please note: Clear Note Solutions cannot guarantee that our specialized SMS compliance architecture will function correctly on external servers.
• 2-Year Financed Plans: If you chose a subsidized setup fee, you are bound to a 24-month commitment, and Clear Note Solutions retains ownership of the site assets during this period. If you cancel early, you will be invoiced for the remaining balance of the contract. Once the 24-month term is completed, or if the early termination balance is paid in full, full ownership of the website transfers to you, and you are free to migrate it elsewhere.
• Non-Payment: If a monthly payment fails and remains unpaid, your website, domain, and associated email accounts will be temporarily suspended until the account balance is brought current.

5. Acceptable Use & Prohibited Content

We keep our servers clean to ensure high performance for all clients. You may not use your website or our hosting environment to store or transmit malware, spam, illegal content, or any material that compromises the server's security. Violating this rule will result in the immediate, non-refundable termination of your services.

6. Portfolio & Promotional Rights

We are proud of the work we do for you. Clear Note Solutions reserves the right to use your completed website—including screenshots, logos, and links to your active domain—for our own promotional purposes. This allows us to feature your project in our online portfolio, social media, and marketing materials to showcase our capabilities to future clients.
